The SEC stated: "This case involves a financial fraud . . . to conceal Haye's true financial condition and operating results. From fiscal years 1999 to 2001, Hayes and certain of its former senior executives and employees, including the defendants named herein, knowingly or recklessly engaged in a fraudulent accounting scheme, whereby Hayes' financial results were manipulated, to achieve the company's internal corporate earnings targets and to mask its declining operating results."
