Document Summary On March 4, 2015, the SEC announced that on March 3, 2015, it filed a civil injunctive action in the United States District Court for the District of Columbia against China Infrastructure Investment Corp. and two officers in connection with a fraudulent scheme to file false and forged SEC reports. The SEC alleged, "The company and its chief executive officer and corporate secretary filed the false reports with the SEC to conceal the fact that the company's CFO had resigned and that CIIC had no CFO at the time of the filings." In related proceedings, the SEC issued an Order suspending trading in securities of CIIC and issued an Order instituting proceedings to determine if the registration of CIIC's securities should be suspended or revoked.

In the Complaint, the SEC stated: "This matter involves a fraudulent scheme perpetrated by China Infrastructure Investment Corporation ('CIIC'), its chief executive officer Li Xipeng ('Xipeng'), and its corporate secretary Wang Feng ('Feng') (collectively 'Defendants') to conceal the fact that CIIC's chief financial officer ('CFO') had resigned. Defendants filed with the SEC Forms 10-K, 10-K/A, and 10-Q and other documents containing material omissions and misrepresentations concerning CIIC's CFO and multiple forged signatures and certifications of the former CFO."
