Sherb LLP, Sherb, Valleau and Epstein engaged in improper professional conduct in connection with the audit of the 2007 year-end financial statements of China Sky One Medical, Inc. ("CSKI"); Sherb LLP, Valleau, Mycio and Epstein engaged in improper professional conduct in connection with the audit of the 2010 year-end financial statements of China Education Alliance, Inc. ("CEU"); and Sherb LLP, Sherb, Valleau, Mycio and Epstein engaged in improper professional conduct with respect to some or all of the audits of the financial statements of Wowjoint Holdings Ltd. ("Wowjoint") for the years ended August 31, 2008 and 2009, a four-month transition period ended December 31, 2009, and the years ended December 31, 2010 and 2011. Sherb LLP and Mycio also violated Section 10A(b)(1) in connection with the CEU audit."
